Article 1Identification of the provider

These General Terms and Conditions of Service (hereinafter the “Terms”) govern the contractual relationship between: FeelCabanya – Gaëlle Nolf

NIE: Y7859741B

Phone: +34 620 88 36 98

Email: info@feelcabanya.com

(hereinafter “the Provider”) and any natural or legal person requesting its services (hereinafter “the Client”).

Article 2Purpose and nature of the assignment

These Terms set out the conditions under which the Provider supplies support services for property search, settling in and relocation in Madrid. The exact content of the assignment depends on the Package or services expressly mentioned in the quote accepted by the Client. The Provider acts exclusively under an obligation of means (best-efforts obligation). It undertakes to exercise the diligence reasonably necessary to perform the services entrusted to it, but does not guarantee obtaining a home, the acceptance of an application, obtaining an administrative appointment, or the favourable outcome of any procedure that depends on a third party. The Provider acts as a support provider, intermediary and facilitator. In particular, it does not act in place of the landlord, the estate agency, a public authority, a bank, an insurer, an energy or telecommunications supplier, a lawyer, notary, tax adviser, technical expert or any other regulated professional.

Article 3Formation of the contract

The signature or acceptance of the quote, together with acceptance of these Terms, constitutes the contractual framework of the assignment. Unless otherwise agreed in writing by the Provider, the start of the assignment is subject to receipt of the deposit provided for in Article 9.2. Any service performed before that date at the Client's express request may nevertheless be considered as the start of performance of the assignment. Where a specific service is expressly provided for in the quote, the specific provisions of the quote supplement these Terms.

Right of withdrawal: Where the Client is a consumer and the contract is concluded at a distance or off-premises, the Client has fourteen (14) calendar days from the conclusion of the contract to withdraw, without having to give reasons. To exercise this right, the Client notifies its decision before the deadline expires by an unequivocal statement sent to info@feelcabanya.com. The Provider acknowledges receipt of the withdrawal by email. In the event of withdrawal, the Provider refunds the sums received no later than fourteen (14) days after being informed of the Client's decision.

Article 4Description of packages and services

4.1 – “FIND HOUSING” PACKAGE

Price: €1,550 excl. VAT, plus applicable VAT. The Find Housing Package is a support assignment for the search for a rental home. It includes:

  • Initial contact and start of the assignment;
  • Analysis of the Client's project following a solvency assessment;
  • Establishing and defining the search criteria;
  • Searching for and shortlisting properties that reasonably match the defined criteria;
  • Necessary contacts with landlords, agencies or intermediaries;
  • Organising and coordinating viewings;
  • Carrying out viewings with or without the Client;
  • Up to five (5) viewings maximum;
  • Putting the Client in touch with the landlord or agency;
  • General support in exchanges relating to the rental application;
  • Assistance with the general understanding of documents relating to the rental;
  • Support up to the signing of the lease.

A. Scope of the Find Housing Package

The Find Housing Package ends when the lease for the property chosen by the Client is concluded or when the maximum of five (5) viewings included in the package has been reached, where applicable after the additional viewing provided for in Article 8, subject to the other cases of termination or interruption provided for in these Terms. For all three (3) packages, as the Provider is bound by an obligation of means, the absence of a chosen home at the end of these viewings does not call into question the fees due. Support under the Find Housing Package ends with the signing of the lease. Key handover, assisted check-in, settling into the home, assistance with water, electricity, gas or internet contracts, banking assistance, the Padrón and the NIE are not included in this Package and fall under the Settle In Package and/or the Fully Establish Package, unless an additional service is expressly provided for in the quote.

B. Number of viewings

The five (5) viewings are a maximum included in the package and not a number of viewings that the Provider is required to organise or carry out. If the Client finds and chooses a home before completing five viewings, the remaining viewings lapse and give rise to no refund, reduction, credit or compensation. The search is adapted to actual market availability, the Client's criteria and the responses of landlords and agencies.

4.2 – “SETTLE IN” PACKAGE

Price: €2,100 excl. VAT, plus applicable VAT, subject to the supplement provided for in point G below. The Settle In Package includes all the services of the Find Housing Package, plus settling-in support after the lease takes effect.

A. Key handover

The Provider assists the Client at the key handover, in the presence of the landlord, the agency or their representative when they are present or when their presence is planned. The purpose of this assistance is to facilitate exchanges and the Client's entry into the home.

B. Visual inspection and list of apparent defects

At the key handover, the Provider assists the Client in carrying out a visual inspection of the home and in identifying apparent defects. This service focuses primarily on apparent defects or malfunctions likely to significantly affect:

  • The normal use of the home;
  • Its proper functioning;
  • Its apparent safety;
  • Its habitability;
  • Or the normal use of its essential equipment.

The purpose of this service is not to draw up an exhaustive list of purely cosmetic imperfections, signs of wear or minor items that do not affect the normal use of the home. The inspection carried out by the Provider is exclusively visual. It is neither a technical survey, nor a property diagnosis, nor a guarantee as to the actual or future condition of the home. In particular, the Provider cannot guarantee the detection of hidden defects, internal defects, intermittent malfunctions or items that cannot reasonably be identified during a visual check.

C. Mediation regarding identified defects

Where defects or malfunctions within the above scope are identified, the Provider may report them to the landlord or agency and act as an intermediary to help find a solution. The Provider is bound by an obligation of means in this mediation. It cannot guarantee:

  • That the landlord or agency will acknowledge the defect;
  • That a repair will be accepted;
  • That an intervention will be organised;
  • The time frame for a repair;
  • The quality of the work carried out;
  • The replacement of any equipment;
  • Any refund or compensation for the Client.

The decision on and actual performance of any work or repairs rest exclusively with the landlord, the agency or the professionals concerned.

D. Water, electricity and gas

The Provider gives the Client assistance and administrative support with the steps required to open, transfer or change water, electricity and gas contracts where such steps are necessary. The Provider does not take out contracts in its own name. The Client remains the contract holder and remains responsible for:

  • Validating the contract;
  • Choosing the supplier where that choice is theirs;
  • The information provided;
  • Accepting the prices and conditions;
  • The final signature or validation;
  • Paying the bills;
  • Ensuring that any Provider contact details used during the process are replaced with the Client's personal details as soon as the contract is set up.

E. Internet

The Provider assists the Client with the steps relating to subscribing to and installing an internet connection. The Provider does not take out the contract in the Client's name. The choice of operator, offer, contractual and pricing terms and final validation rest with the Client. The Provider cannot be held liable for installation delays, technical problems, appointments missed by the operator or the Client, connection quality, coverage, service interruptions or other failures attributable to the operator or the Client.

F. Bank account

The Provider assists the Client with the steps relating to opening a bank account where this is necessary for settling in. This assistance may include guiding the Client, helping prepare the necessary information or documents and facilitating exchanges with the bank. The Provider does not open the account in the Client's name and makes no banking decision on the Client's behalf. Acceptance, blocking or refusal of the account opening, the documents required, time frames, pricing conditions and services offered are exclusively a matter for the bank.

G. Flat-rate supplement for additional intervention

The mediation provided for in point C is included in the Settle In Package. For the same issue, defect or damage, up to three (3) written follow-ups with the relevant contact are included during the mediation period provided for in the Package. Any additional intervention beyond these three follow-ups constitutes a separate one-off service. It is subject to a quote sent to the Client and is only carried out and invoiced after the Client's written agreement.

H. Duration of the Settle In Package

The settling-in support included in the Settle In Package is provided for a maximum of three (3) weeks from the date the lease takes effect, and not from the date the Client moves into the home. This three-week period is the maximum contractual duration of the post-lease support included in the Settle In Package. When it expires, the Settle In Package assignment is deemed completed and the balance of the fees becomes payable under the conditions set out in Article 9.4.

4.3 – “FULLY ESTABLISH” PACKAGE

Price: €2,500 excl. VAT, plus applicable VAT. The Fully Establish Package includes all the services of the Find Housing and Settle In Packages, plus support with the following administrative procedures:

  • Empadronamiento (Padrón)
  • NIE (foreigner identification number)

The Provider supports the Client in preparing and following up these procedures, including, as needed:

  • Identifying the necessary documents;
  • Preparing the administrative file;
  • Supporting the booking of appointments, or booking them where possible;
  • Accompanying the Client to the appointment;
  • The exchanges needed to complete the procedure.

The Provider acts exclusively as a support provider and facilitator. It is not the competent authority and therefore cannot guarantee the availability or date of an appointment, administrative time frames, the acceptance of supporting documents, the absence of requests for additional documents, the authority's decision or the date a document is issued.

A. Duration of the Fully Establish Package

The support after the lease takes effect included in the Fully Establish Package is provided for a maximum of five (5) weeks from the date the lease takes effect. This period includes the settling-in support of the Fully Establish Package and the support relating to the Padrón and the NIE. When it expires, the Fully Establish Package assignment is deemed completed and the balance of the fees becomes payable under the conditions set out in Article 9.5.

4.4 – “REMOTE VIEWING” SERVICE

Price: €250 excl. VAT, plus applicable VAT. This service is intended for a Client who is not yet in Madrid, does not wish to travel there before the lease is concluded, and is already in direct contact with the landlord or agency, having already submitted an application.

It includes:

  • Carrying out one (1) viewing of the property concerned on the Client's behalf;
  • Checking that the property viewed matches the information advertised (description, photos, equipment);
  • A general review of the draft lease, covering the general understanding of its clauses.

It expressly excludes:

  • Searching for or shortlisting properties;
  • Preparing or submitting the application;
  • Negotiating with the landlord, the agency or any intermediary;
  • Any settling-in service, administrative procedure or any other service falling under the Find Housing, Settle In or Fully Establish Packages, unless these Packages are ordered expressly and separately.

As with the other services described in these Terms, the Provider acts as a support provider and facilitator under an obligation of means. The review of the lease does not constitute legal advice and does not release the Client from its obligation to check the documents itself before signing, in accordance with Article 6 and Article 16 of these Terms. The Provider cannot be held liable for the Client's decision whether or not to sign the lease after this service.

Payment: a deposit of 50% of the price of the service, plus applicable VAT, is payable on ordering, under the conditions set out in Article 9.2. The balance is payable after the viewing.

Duration: this service is a one-off service carried out on the date agreed with the Client. It includes no support after the viewing and the review of the lease, unless an additional service is expressly ordered.

4.5 – “SCHOOL SEARCH” SERVICE

Price: €1,350 excl. VAT, plus applicable VAT. This service can be ordered on its own or in addition to a Package. It includes:

  • Analysis of the Client's schooling needs (children's ages, language and education system, location, budget);
  • Shortlisting a maximum of five (5) schools;
  • Organising visits to the shortlisted schools;
  • Support with the enrolment process.

The Provider acts as a support provider and facilitator under an obligation of means. It cannot guarantee the availability of a place, the child's admission, or the decisions, time frames and conditions specific to each school or to the education authorities.

Payment: a deposit of 50% of the price of the service, plus applicable VAT, is payable on ordering, under the conditions set out in Article 9.2. The balance is payable at the end of the service.

4.6 – “NIE” AND “PADRÓN” SERVICES

Prices: NIE: €390 excl. VAT; Padrón: €150 excl. VAT, plus applicable VAT. These services can be ordered independently of the Packages. For the procedure concerned, they include the support described in Article 4.3: identifying the necessary documents, preparing the administrative file, supporting the booking of appointments or booking them where possible, and accompanying the Client to the appointment. The limits set out in Article 4.3 apply.

Payment: a deposit of 50% of the price of the service, plus applicable VAT, is payable on ordering, under the conditions set out in Article 9.2. The balance is payable after the administrative appointment.

Article 5Role of the provider and dependence on third parties

A significant part of the services depends on decisions, availability and time frames of third parties over which the Provider has no control. These may include landlords, estate agencies, public authorities, banks, insurance companies, water, electricity or gas suppliers, internet operators, tradespeople and technicians, or any other professional involved in the Client's project.

The Provider cannot be held liable for the delay, decision, refusal, error, lack of response or poor performance of an obligation falling to a third party, except where the Provider's liability results directly from its own failure under the conditions provided for by law. A delay by a third party does not automatically extend the duration of the Package or service ordered.

Article 6Obligations and decisions of the client

The Client undertakes to provide accurate, complete and up-to-date information, to send the necessary documents within the time frames requested, to cooperate actively with the Provider, to be reasonably available when its presence or validation is required, to inform the Provider immediately of any change affecting its project, to attend agreed appointments, to check documents before signing or paying, and to pay the fees on the agreed due dates.

The Client remains solely responsible for decisions concerning the choice of home, acceptance of its features and condition, the signing of reservation and rental contracts, payments to the landlord, the agency or any other third party, the choice and subscription of insurance, the internet contract and the bank, and any decision that legally or financially commits the Client.

The Provider's support does not release the Client from reading and checking the documents given to it before signing them. Where a document or situation requires legal, tax, financial, technical or other specialist professional advice, it is the Client's responsibility to consult the competent professional.

Article 7Client cooperation and delays

The support periods set out in the quote also correspond to the period during which the Provider reserves working capacity for the Client. A lack of response from the Client, late or incomplete submission of documents, the Client's unavailability, the postponement of an appointment at the Client's initiative or any other delay attributable to the Client does not automatically extend the contractual duration of the Package or service. The Provider cannot be held liable for a delay or the impossibility of performing a service resulting from the Client's lack of cooperation. Where a delay attributable to the Client requires an extension or a substantial new commitment by the Provider beyond the period included in the Package, this intervention may be the subject of an additional service with the Client's agreement.

Article 8Viewings

The number of viewings included in the Find Housing, Settle In and Fully Establish Packages is limited to five (5) viewings maximum. A viewing means organising and holding an appointment to allow the Client to examine a home shortlisted as part of the assignment, which involves in particular the prior search, exchanges with the agency or landlord, organising the appointment, travel and follow-up of the viewing.

The five viewings are a maximum and not a contractual minimum. If a home is chosen before the fifth viewing, the remaining viewings lapse and give rise to no refund, credit or compensation. The terms applicable to a viewing cancelled at short notice or not attended by the Client are set out in the quote.

Additional viewing offered: if the fifth viewing led to an application being submitted and that application is rejected by the landlord or agency, the Provider offers the Client one (1) additional viewing free of charge. This viewing is a one-off and is not renewed, whatever its outcome.

9.3 – Find Housing Package

The balance of the Find Housing Package becomes payable at the end of the search assignment as defined in Article 4.1.

9.4 – Settle In Package

The balance of the Settle In Package, including any flat-rate supplement, becomes payable no later than the end of the three (3) week period following the date the lease takes effect. 9.8 – Payment terms

Unless otherwise stated on the quote or invoice, invoices are payable within a maximum of fourteen (14) days from their date of issue. The consequences of late payment are those provided for by applicable law.

Article 10Cancellation or interruption by the client

The provisions of this Article apply without prejudice to the legal right of withdrawal the Client may have when acting as a consumer.

10.1 – Deposit and reservation of capacity

Accepting an assignment leads the Provider to reserve working capacity for the Client in its schedule. Consequently, where the Client decides to cancel or interrupt the assignment, before or after it starts, the 50% deposit remains retained by the Provider, subject to the right of withdrawal provided for in Article 3 and to applicable mandatory legal provisions.

10.2 – Interruption after viewings have started

Where one or more viewings have actually been carried out before the assignment is definitively interrupted at the Client's initiative, additional fees of €155 excl. VAT are due per viewing actually carried out, plus applicable VAT. The total amount excl. VAT due on the day of the interruption, deposit included, is as follows:

Viewings carried outFind Housing – €1,550 excl. VATSettle In – €2,100 excl. VATFully Establish – €2,500 excl. VAT
0€775€1,050€1,250
1€930€1,205€1,405
2€1,085€1,360€1,560
3€1,240€1,515€1,715
4€1,395€1,670€1,870
5€1,550€1,825€2,025

Applicable VAT is added to these amounts. Where the total amount due exceeds the deposit already paid, the difference is invoiced separately.

10.3 – Settle In and Fully Establish services already started

Where, before the interruption, a service specific to the Settle In or Fully Establish Package has already been started or performed, its value may be added to the fees determined above in accordance with the price set out in the quote. Services that have not been started or performed are not invoiced merely because they were included in the Package. Unless an additional service is expressly ordered, the total amount invoiced for the assignment may not exceed the price of the Package ordered.

10.4 – Interruption of the Remote Viewing service

Where the Client cancels the service before the viewing takes place, the 50% deposit remains retained by the Provider in accordance with Article 10.1. Where the viewing has been carried out before the interruption, the full balance of the service becomes payable.

10.5 – Abandonment or change of the project

The following are in particular considered an interruption at the Client's initiative: voluntarily stopping the search, abandoning the project, deciding not to rent a home, continuing the search alone or with another intermediary, or directly or indirectly concluding a transaction outside the support while the assignment was in progress. Sums already retained and fees that have become payable remain due, subject to applicable mandatory legal provisions.

Article 11Duration and end of the assignment

11.1 – Find Housing Package: the Package ends when the Client concludes the lease for the chosen home or when the maximum of five viewings included in the package has been reached, where applicable after the additional viewing provided for in Article 8, subject to the other cases of termination or interruption provided for in these Terms.

11.2 – Settle In Package: the settling-in services are provided for a maximum of three (3) weeks from the date the lease takes effect.

11.3 – Fully Establish Package: the settling-in and administrative support services are provided for a maximum of five (5) weeks from the date the lease takes effect.

11.4 – Remote Viewing service: the assignment ends after the viewing and the review of the lease, unless a separate additional service is expressly ordered.

11.5 – Procedures in progress: a procedure started during the contractual period may, for reasons beyond the Provider's control, continue after the end of the Package. This does not automatically extend the contractual duration or postpone the due date of the balance. The Provider may nevertheless, as a courtesy and within reason, provide occasional follow-up of a procedure already started and inform the Client of important information brought to its attention. Occasional courtesy follow-up constitutes neither an extension of the Package nor a new assignment.

11.6 – Additional interventions after the end of the Package: after the contractual period has expired, any new substantial intervention requested by the Client may constitute an additional service, subject to prior agreement on its content and price.

11.7 – No home chosen (Settle In and Fully Establish Packages): where no lease is concluded after the included viewings and, where applicable, the additional viewing provided for in Article 8, the assignment ends. The settling-in and administrative support services, which require a lease to be concluded, are not performed. The total amount due by the Client, deposit included, is then the amount shown on the “5 viewings” line of the table in Article 10.2.

11.8 – School Search, NIE and Padrón services: the assignment ends at the end of the service concerned, subject to Article 11.5.

Article 12Condition of the home and client responsibility

The Provider's assistance at the key handover does not transfer to the Provider responsibility for the condition of the home. The Client remains responsible for checking the home on moving in, validating the check-in report or any equivalent document provided by the landlord or agency, and reporting as soon as possible any defect, damage, anomaly or malfunction found. In particular, the Provider is not liable for hidden defects, non-visible defects, functional defects impossible to detect during the inspection, problems appearing later, wear and tear, the decision of the landlord or agency, whether or not repairs are carried out, intervention times, the quality of work carried out by a third party, or disputes concerning the security deposit.

Article 13Contracts, insurance, banks and suppliers

The Provider's role is one of assistance and support. The Provider does not sign, take out or validate on the Client's behalf the lease, an insurance, water, electricity, gas or internet contract, a banking contract or any other personal commitment of the Client. The Client remains solely responsible for checking the conditions, prices, durations, commitments and payment details before any signature or validation.

Article 14Financial transactions

The Provider neither holds nor manages the Client's funds intended in particular for the landlord, the agency, the guarantee, the security deposit, the rent, a bank, an insurer, a supplier or any other third party. The Client remains responsible for checking the bank details and identity of the beneficiary before any payment.

Article 15Recommendations of professionals

The Provider may recommend or put the Client in touch with professionals or companies likely to be useful for settling in. The Client remains free to choose the professional with whom it wishes to contract. The Provider is not a party to the contract concluded between the Client and the third-party professional.

Article 16No legal, tax or technical advice

The services provided, including the review of the lease provided for in Article 4.4, are support, assistance and facilitation services. In particular, they constitute neither legal or tax advice nor a technical property survey. Where specialist advice is required, the Client must consult the competent professional.

Article 17Liability

The Provider is bound by an obligation of means. Its liability can only be engaged for a failure directly attributable to it and under the conditions provided for by applicable law. The Provider is not liable for the decisions, refusals, acts, omissions, errors, delays or failures of landlords, agencies, public authorities, banks, insurers, suppliers, operators, tradespeople or other third parties.

Article 18Interruption by the provider

The Provider may suspend or terminate the assignment in particular in the event of non-payment of the deposit, deliberate provision of false information, submission of falsified documents, persistent refusal to cooperate, abusive or threatening behaviour or behaviour incompatible with the normal continuation of the relationship, an unlawful request, or a serious breach by the Client of its obligations.

Article 19Force majeure

Neither party can be held liable for a delay or failure to perform resulting from an event meeting the conditions of force majeure under applicable law. A personal decision by the Client to abandon, suspend or postpone its project does not, in itself, constitute a case of force majeure.

Article 20Confidentiality and personal data protection

The parties undertake to keep confidential all information and documents exchanged in the course of the assignment.

In the course of the assignment, the Provider may collect and process the personal data necessary to perform the services. This data is used strictly for managing the contractual relationship, preparing rental applications and carrying out procedures with third parties. It is processed in accordance with the General Data Protection Regulation (GDPR), Organic Law 3/2018 (Ley Orgánica 3/2018) and other applicable provisions.

The Client has the right of access, rectification, erasure, restriction and portability of its data, as well as the other rights provided for by data protection regulations. These rights can be exercised by sending an email to: info@feelcabanya.com.

Article 21Complaints and amicable settlement

In the event of a difficulty relating to the assignment, the Client is invited to send a written complaint to the Provider, setting out the difficulty precisely. The parties will endeavour in good faith to find an amicable solution before bringing any legal proceedings. Where the Client acts as a consumer, it may also benefit from the out-of-court dispute resolution mechanisms provided for by applicable regulations. Information on the competent out-of-court dispute resolution body will be provided to the Client under the conditions laid down by the regulations in force. The rights enjoyed by a consumer in matters of out-of-court dispute resolution remain applicable.

Article 22Non-circumvention and good faith

The Client undertakes to perform the contract in good faith. Circumvention includes in particular directly or indirectly concluding an agreement with a landlord, an agency or another contact introduced or identified through the Provider's work, with the aim of deliberately avoiding payment of contractually due fees.

Article 23Governing law and jurisdiction

These Terms are governed by Spanish law. In the event of a dispute, the parties will first seek an amicable solution. Where the Client is a consumer, the mandatory rules on jurisdiction and consumer protection remain fully applicable.

These Terms are drawn up in French. Where they are translated into another language, only the French version is authoritative in the event of any discrepancy or difficulty of interpretation.
